Terms & Conditions

These terms govern your use of Nimbus Route's content delivery and edge compute services. They work alongside your order form or master services agreement (MSA) — if a conflict exists, the signed document prevails.

Section 01

Definitions & Scope

"Nimbus Route", "we", or "our" refers to Nimbus Route Inc. and its subsidiaries. "Customer", "you", or "your" refers to the individual or organization that has executed an order form, subscribed to a plan, or otherwise agreed to these terms.

"Services" refers to Nimbus Route's content delivery network (CDN), edge compute platform, DDoS protection, DNS management, SSL/TLS certificate provisioning, cache management APIs, and any related tools, dashboards, or documentation provided by Nimbus Route.

These terms apply to all subscription plans (Standard, Business, Enterprise) and usage-based services unless a superseding master services agreement (MSA) is executed between the parties.

Section 02

Acceptable Use Policy

You agree to use the Services only for lawful purposes. The following activities are strictly prohibited:

  • Distributing malware, phishing content, or any material designed to harm end users or third-party systems.
  • Using the network to launch or facilitate denial-of-service attacks against any target.
  • Hosting or caching content that infringes on third-party intellectual property rights.
  • Storing or transmitting content that violates applicable laws, including export control regulations.
  • Circumventing rate limits, bandwidth caps, or security controls via technical manipulation.
  • Reselling or sub-licensing access to the Services without prior written authorization.

Nimbus Route reserves the right to suspend or terminate accounts that violate this policy without prior notice. We will make reasonable efforts to notify you before taking action except where immediate suspension is necessary to protect the network or comply with legal obligations.

Section 03

Service Level Agreement

Nimbus Route commits to the following uptime guarantees, measured on a rolling 30-day basis:

  • Standard Plan: 99.9% uptime — service credits apply for downtime exceeding 0.1%.
  • Business Plan: 99.99% uptime — service credits apply for downtime exceeding 0.01%.
  • Enterprise Plan: 99.999% uptime with a custom SLA and dedicated incident response.

"Downtime" is defined as the period during which our edge network fails to respond to valid HTTP/HTTPS requests, as measured by our internal monitoring systems. Scheduled maintenance windows (announced at least 72 hours in advance), customer-side configuration errors, and force majeure events are excluded from uptime calculations.

Service credits are applied as a percentage of monthly fees: 10% for each 0.1% below the SLA threshold, up to a maximum of 30% of the monthly invoice. Credits must be requested within 30 days of the incident.

Section 04

Data Handling & Privacy

When content passes through our edge network, we process technical metadata (request headers, IP addresses, cache keys, response codes) to deliver and optimize the Services. We do not inspect, store, or monetize the contents of your traffic beyond what is necessary to fulfill the Services.

  • Access logs are retained for 30 days by default and are available via the dashboard or API.
  • Edge cache is ephemeral — cached objects are purged per your TTL settings or on-demand via the Purge API.
  • We maintain SOC 2 Type II compliance and undergo annual third-party security audits.
  • Data processing addendums (DPAs) are available for customers subject to GDPR, CCPA, or equivalent regulations.

For Enterprise customers, we offer data residency controls, allowing you to restrict content caching and processing to specific geographic regions. Contact your account manager for details.

Section 05

Intellectual Property

You retain full ownership of all content you deliver through the Nimbus Route network. We claim no rights to your code, media, data, or any other material processed by the Services.

Nimbus Route retains ownership of the platform, APIs, SDKs, edge compute runtime, documentation, and all proprietary technology used to deliver the Services. You are granted a non-exclusive, non-transferable license to use these tools for the duration of your subscription.

You grant Nimbus Route a limited license to cache, transform (e.g., image optimization, compression), and deliver your content as necessary to fulfill the Services. This license terminates immediately upon purge or account cancellation.

Section 06

Payment & Billing

Subscription fees are billed monthly in advance. Usage-based charges (bandwidth overages, edge compute invocations, additional purge requests) are calculated at the end of each billing cycle and invoiced in the following period.

  • Invoices are due within 15 days of issuance unless otherwise specified in your order form.
  • Accounts more than 15 days past due may be subject to service suspension with 5 business days' notice.
  • Annual billing is available at a 15% discount for Standard and Business plans.
  • Enterprise contracts follow custom billing schedules as defined in the order form.

Plan changes (upgrades or downgrades) take effect at the start of the next billing cycle. Upgrades may be applied immediately upon request, with prorated charges for the remainder of the current cycle.

Section 07

Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of the cause of action or theory of liability.

Nimbus Route's aggregate liability arising out of or in connection with the Services shall not exceed the total fees paid by you during the three (3) months immediately preceding the event giving rise to the claim.

Neither party shall be held responsible for failures or delays caused by events beyond reasonable control, including natural disasters, acts of government, internet backbone failures, or large-scale cyberattacks (force majeure events).

Section 08

Termination

Either party may terminate the agreement with 30 days' written notice. You may also cancel your subscription at any time via the dashboard — cancellation takes effect at the end of the current billing period.

  • Upon termination, your cached content will be purged from all edge nodes within 72 hours.
  • Access logs and configuration data will be available for export for 30 days post-cancellation.
  • Nimbus Route may terminate immediately for material breach, including violations of the Acceptable Use Policy.
  • Prepaid fees for unused service periods are non-refundable unless otherwise required by law.
Section 09

Governing Law

These terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict-of-law principles. Any disputes arising from or related to these terms shall be resolved in the state or federal courts located in San Francisco County, California, unless both parties mutually agree to an alternative forum or binding arbitration.
